Welcome to Edobb Mentorhub Private Limited ("Edobb", "Company", "Platform", "we", "our", "us").

By clicking "I Agree", registering as a Mentor, or conducting any session on the Platform, you confirm that you have read, understood, and legally accepted this Online Agreement.

This is a legally binding electronic contract under applicable Indian laws including the Information Technology Act, 2000.

1. NATURE OF ENGAGEMENT

1.1 Edobb operates an online mentorship marketplace connecting learners ("Seekers") with independent mentors.
1.2 Mentors act as independent professionals and not as employees, partners, or agents of Edobb.
1.3 The Mentor is solely responsible for professional conduct, statutory compliances, and tax obligations.

2. PLATFORM COMMISSION & PAYOUT TERMS

2.1 Platform Fee
Edobb shall retain 20% commission from each successfully completed session booking.
2.2 Weekly Payout
Eligible earnings (after deductions) will be processed every Tuesday to the registered bank account.
2.3 Dashboard Transparency
Mentors can view in their login dashboard:
- Session schedules
- Students attended
- Amount collected
- Amount disbursed
- Platform fees
- Sitting fees (if applicable)
- Penalties & adjustments
2.4 All penalties, fees, or adjustments shall be deducted from the weekly disbursement.

3. BOOKING & CANCELLATION POLICY

3.1 Seeker Cancellation
If a Seeker cancels a booked session → No payment is payable to the Mentor.
3.2 Learner Changes Mentor
If a learner changes the assigned Mentor → No payment shall be payable to the previous Mentor.
3.3 Confirmed Booking – No Cancellation Rule
Once a session is booked by a Seeker and confirmed on the Platform:
The Mentor shall not cancel the session.
Cancellation after confirmation is strictly prohibited except in genuine emergency cases.
3.4 Emergency Intimation
In exceptional circumstances, the Mentor must immediately inform:

The decision of Edobb shall be final and binding.
3.5 Unauthorized cancellation may result in:
- Monetary penalty
- Suspension
- Restriction of future scheduling
- Permanent termination for repeated violations

4. LATE JOINING & NON-PERFORMANCE

4.1 Mentors must join sessions on time.
4.2 Late joining beyond permitted grace time may attract penalties.
4.3 Repeated late joining may result in restriction from future scheduling.
All applicable penalties shall be deducted from weekly payouts.

5. QUALITY CONTROL & PERFORMANCE REVIEW

5.1 Edobb reserves the right to conduct:
- Session monitoring
- Quality audits
- Student feedback review
- Performance evaluation
5.2 Mentors delivering below-standard services may:
- Receive warning
- Be temporarily restricted
- Be suspended
- Be permanently removed from the Platform
Edobb's quality assessment decision shall be final.

6. SESSION RECORDING

6.1 All live sessions conducted through the Platform shall be recorded by Edobb.
6.2 All recordings are the exclusive intellectual property of Edobb.
6.3 Mentors waive any ownership claims over session recordings.
6.4 Recordings may be used for:
- Quality checks
- Compliance
- Dispute resolution
- Training & internal purposes
Unauthorized copying or distribution is strictly prohibited.

7. INTELLECTUAL PROPERTY

7.1 All course structures and general academic content on Edobb are AI-generated and owned exclusively by Edobb.
7.2 All data including:
- Student database
- Session recordings
- Platform analytics
- Reports
- Branding
- Technical systems
are the sole intellectual property of Edobb.
7.3 Any misuse, copying, extraction, or external usage is strictly prohibited and may result in legal action.

8. CONTENT UPLOAD POLICY

8.1 Mentors may upload personal materials only under:
- Premium Facility
- Super Premium Facility
8.2 Uploading outside these facilities is prohibited.
8.3 Annual renewal fees apply for Premium and Super Premium access.
8.4 Failure to pay renewal fees shall result in automatic revocation of licence and removal of premium privileges.

9. SITTING FEES

Edobb may apply sitting fees as per platform policy.
Such fees shall be reflected in the Mentor dashboard and deducted from payouts.

10. VERIFICATION REQUIREMENT

10.1 Mentor verification is mandatory before conducting sessions.
10.2 Mentors must submit when requested:
- Qualification certificates
- Experience proof
- Skill certifications
- References
- Government ID proof
- Address proof
10.3 Only successfully verified mentors shall receive the Edobb Verified Badge.
Unverified mentors are not permitted to take sessions.

11. DATA PROTECTION & CONFIDENTIALITY

Mentors shall:
- Not share personal contact details with Seekers
- Not collect payments outside Edobb
- Not transfer student data externally
- Maintain strict confidentiality
Violation may lead to immediate termination.

12. LICENCE TERMINATION

The licence to operate on the Platform shall automatically terminate if:
- Verification fails
- Premium renewal fees unpaid
- Policy violations occur
- Data misuse established
- Repeated quality failures

13. LIMITATION OF LIABILITY

Edobb shall not be liable for:
- Income expectations
- Technical disruptions
- Seeker dissatisfaction
Maximum liability shall be limited to the platform fee collected from the Mentor in the preceding three months.

14. DISPUTE RESOLUTION

Disputes shall first be resolved amicably.
If unresolved, arbitration shall be conducted under Indian law.
Jurisdiction: Kollam, Kerala, India.

15. ELECTRONIC ACCEPTANCE

This is an online clickwrap agreement.
By clicking "I Agree", you confirm that:
- You are legally competent to contract
- You accept all platform policies
- You understand penalties, quality checks, and deductions apply
- You consent to session recording
No physical signature is required.
